Terms of Service

1. Acceptance of Terms

By accessing or using Scytales Connector ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Scytales ("Company," "we," "us," or "our").

2. Description of Service

Scytales Connector is a credential verification service that enables applications to verify digital credentials (mobile driver's licenses, digital identity credentials, verifiable credentials) using OpenID Connect and W3C standards.

The Service includes:

  • API access for credential verification
  • OpenID Connect authentication endpoints
  • Developer dashboard and analytics
  • Documentation and support resources

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration

4.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4.2 Account Security

You must use a strong password and enable two-factor authentication if available. We are not liable for losses caused by unauthorized use of your account.

5. Acceptable Use Policy

You agree NOT to:

  • Use the Service for illegal purposes or to violate any laws
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated systems (bots, scrapers) without permission
  • Interfere with or disrupt the Service's operation
  • Impersonate others or provide false information
  • Transmit malware, viruses, or harmful code
  • Violate intellectual property rights
  • Circumvent usage limits or rate limits
  • Resell or redistribute the Service without authorization

6. Service Plans and Fees

6.1 Free Tier

The Free tier includes 1,000 verifications per month at no cost. We reserve the right to modify or discontinue the Free tier with 30 days' notice.

6.2 Paid Plans

Paid plans (Pro, Enterprise) are billed monthly based on usage. All fees are in Euros (€) and non-refundable except as required by law or stated in our refund policy.

6.3 Payment Terms

  • Payment is due at the time of service
  • We accept credit cards, SEPA, and bank transfers (Enterprise only)
  • Prices are subject to change with 30 days' notice
  • Failure to pay may result in service suspension
  • Taxes (VAT, sales tax) are your responsibility unless stated otherwise

6.4 Refunds

Pro tier: 30-day money-back guarantee for first-time customers. Enterprise refunds are governed by your contract.

7. Service Level Agreement (SLA)

We strive to maintain 99.9% uptime (99.95% for Enterprise). SLA credits may be provided for extended outages as defined in your plan. Scheduled maintenance and force majeure events are excluded from SLA calculations.

8. Intellectual Property

8.1 Our Rights

The Service, including all software, content, trademarks, and technology, is owned by Scytales and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service.

8.2 Your Content

You retain ownership of data you submit to the Service. By using the Service, you grant us a license to process your data solely to provide the Service.

8.3 Feedback

If you provide feedback or suggestions, we may use them without obligation or compensation to you.

9. Data Processing and Privacy

Our collection and use of personal data is governed by our Privacy Policy. For customers subject to GDPR, we act as a data processor and will execute a Data Processing Agreement (DPA) upon request.

10. Confidentiality

Both parties agree to maintain confidentiality of non-public information shared during the use of the Service. This obligation survives termination of these Terms.

11. Warranties and Disclaimers

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Accuracy

While we strive for accuracy in credential verification, we do not guarantee that all verifications will be error-free. You are responsible for implementing additional security measures as needed for your use case.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • FOR FREE TIER USERS, OUR LIABILITY IS LIMITED TO €100

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Scytales from any claims, damages, losses, or expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your negligence or willful misconduct

14. Term and Termination

14.1 Term

These Terms remain in effect while you use the Service.

14.2 Termination by You

You may terminate your account at any time from your dashboard or by contacting support. Paid subscriptions will remain active until the end of the billing period.

14.3 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay amounts due
  • Engage in fraudulent activity
  • Pose a security risk

We will provide reasonable notice except in cases of serious violation or legal requirement.

14.4 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • We will delete your data per our retention policy
  • You remain liable for unpaid fees
  • Provisions that should survive (liability, indemnification) remain in effect

15. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email and/or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitute acceptance of the modified Terms.

16. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We are not liable for any modification, suspension, or discontinuation.

17. Third-Party Services

The Service may integrate with third-party services (payment processors, credential issuers, wallets). Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services.

18. Export Compliance

You agree to comply with all applicable export and import laws. You may not use the Service in countries subject to EU or U.S. embargo or export restrictions.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms are governed by the laws of Belgium without regard to conflict of law principles.

19.2 Jurisdiction

Any disputes shall be resolved in the courts of Brussels, Belgium. EU consumers may also bring claims in their local courts.

19.3 Arbitration (Optional for Enterprise)

Enterprise customers may opt for binding arbitration under ICC rules as an alternative to litigation.

20. Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemic, government actions, or internet disruptions.

21. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger or acquisition.

22. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

23. Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

24. Entire Agreement

These Terms, together with our Privacy Policy and any applicable order form or contract, constitute the entire agreement between you and Scytales regarding the Service.

26. Special Provisions for Enterprise Customers

Enterprise customers may have separate written agreements that supersede or supplement these Terms. In case of conflict, the written agreement prevails.
